Innovative Data Solutions,
Inc. stands by it's original formal estimate as purposed by our web site
business process, and does not condone any hidden costs at any
level. However, if additions or modifications to the site are
desired after development has begun that were not brought to light during
the initial consultation, then its is reasonable to expect that both
Innovative Data Solutions, Inc. and your organization should come to an
agreement on the additional charge for such services.

Ownership
|
All copyrightable aspects of the Web Site created or supplied by Innovative Data Solutions, Inc. shall be deemed a Work For Hire pursuant to the Copyright Laws of the United States, and User shall, upon payment of all compensation due to Innovative Data Solutions, Inc., be deemed the author and owner of all the Copyright thereto. Alternatively, in the event (and to the extent) that the Work Product (or any portion thereof) is found as a matter of law not to be a Work For Hire, Innovative Data Solutions, Inc. assigns to User its entire right, title and interest in said Work Product, including all patents, copyrights, trade secrets and other proprietary rights. This assignment is conditioned upon full payment of the compensation due Innovative Data Solutions, Inc. under this Agreement.
Innovative Data Solutions, Inc. shall, at no charge to User, execute and aid in the preparation of any documents that User may consider necessary or helpful to obtain or maintain any patents, copyrights, trademarks or other proprietary rights. User shall reimburse Innovative Data Solutions, Inc. for reasonable out-of-pocket expenses incurred under this provision.
Nothing in this Agreement shall prevent Innovative Data Solutions, Inc. from designing and/or implementing Web Sites for any other person or firm.

Warranty
|
Innovative Data Solutions, Inc. warrants that the Work Product created or supplied by Innovative Data Solutions, Inc. will not infringe the intellectual property rights of any third party. Innovative Data Solutions, Inc. agrees to indemnify and hold User harmless from any costs, expenses (including reasonable attorney's fees) or liability arising from any claim that the design services or Work Product provided by Innovative Data Solutions, Inc. infringe the intellectual property rights of any third party.
User warrants that all text, graphics, photos, designs, trademarks or other materials provided by User to Innovative Data Solutions, Inc. for the design of said Web Site are owned or licensed to User for use therein, and may be used lawfully on the Internet. User will indemnify and hold Innovative Data Solutions, Inc. harmless from any costs, expenses (including reasonable attorney's fees) or liability arising from any claim that such materials infringe the intellectual property rights of any third party or constitute an unlawful or illegal use or violate the rights of any third party.

Disclaimer
of Liability |

With the exception of the express warranties in this Agreement, Designer does not make ANY OTHER WARRANTY, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
Innovative Data Solution’s, Inc. maximum liability to User for any and all losses, claims, damages or liability of any kind (including but not limited to contract or tort) with respect to the services provided by Innovative Data Solutions, Inc. and any act or omission of Innovative Data Solutions, Inc. shall be limited to the amount paid by User to Innovative Data Solutions, Inc. under this Agreement. In no event will Innovative Data Solutions, Inc. be liable for any indirect, incidental or consequential damages, even if Innovative Data Solutions, Inc. has been advised of the possibility of such damages.

Delivery
of Completed Web Site |
| After
your new site is completed, it will be returned to you or posted via
one of the following methods. If you are not sure which one best

If
you already have a new existing account with an Internet Service
Provider (ISP) on an existing web server, then we can directly upload
your new site via FTP. You must have FTP access to your existing
web site for this to take place. |
|
If
you desire your site on VIA .Net Works, Innerhost, Third Coast Network or Verio we can take
care of all of the upload procedures and maintenance for you. All you
will need is a browser to view the completed site.
Clients wishing their site
hosted on VIA .Net Works, Innerhost, Third Coast Network or Verio will be charged $25 - $50 month in
applicable fees. Please visit our hosting services page for more
details. |

If
you have no existing Web Space, we can start the process and paperwork
with the proper organizations, but it will be up to you to pay all
applicable fees. There is a one-time charge of $50.00 for this
service.
Once your domain name (www.yoursite.com)
is in place we would be happy to take care of posting your site, via
any of the first two methods above. |

Terms
of Contract/Payment |
| Innovative
Data Solutions, Inc. designates certain payment terms on contracts and
invoices. Most invoices are due after 15 days, with 50% down and 50%
due on delivery. Special arrangements can be made, if necessary.
Clients are expected to adhere to the terms on their individual
contract. The following penalty structure will apply: |

each 7 days overdue without the client having contacted a
representative of Innovative Data Solutions, Inc., the price shall
become 125% of the previous set balance. |
